Please read this Disclaimer carefully before accessing sbf.fivetoclose.cloud, depositing cryptocurrency, or participating in any offering associated with SBF FTC (the "Fund") operated by FiveToClose ("we," "us," or "our").

Not Investment, Legal, or Tax Advice

All content on this site — including marketing copy, fund descriptions, projected structures, and educational materials — is provided for general informational purposes only. Nothing on this site constitutes investment advice, legal advice, tax advice, accounting advice, or a recommendation to buy, sell, or hold any security, cryptocurrency, real property, or precious metal.

You should consult qualified professionals — including a licensed attorney, CPA, and registered investment adviser — before making any financial, tax, or investment decision. Do not rely on this site as a substitute for personalized professional guidance.

Accredited Investors Only

Participation in SBF FTC is intended solely for accredited investors as defined under applicable U.S. securities laws (including Regulation D). By depositing or expressing interest, you represent that you meet applicable accreditation standards and are legally permitted to participate in private placements.

This site does not constitute a general solicitation to non-accredited investors where prohibited by law.

Fund Phases — No Yield on Idle Crypto

SBF FTC operates in disclosed phases: Accumulation (Phase I), Deployment (Phase II), and Income (Phase III). During Phase I, deposited cryptocurrency is pooled toward a published deployment threshold. No dividends, interest, or yield are paid on undeployed crypto. We do not represent this as a savings account, bank deposit, or guaranteed-income product comparable to regulated custodial "Earn" programs.

No Guarantee of Returns or Distributions

We do not guarantee any specific return, dividend, distribution, appreciation, or preservation of capital. References to quarterly distributions apply only after hard-asset deployment (Phase III) and are descriptive of the Fund's stated strategy — not promises of performance.

If the published deployment threshold is not met by the stated deadline, return of capital is subject to the published refund policy — not a guarantee of immediate liquidity at par value in all circumstances.

Real estate values fluctuate. Rental income may fall short of projections. Precious metal prices are volatile. Crypto-to-fiat conversion involves market, liquidity, and operational risk. You may lose part or all of your deposited capital.

Lock-Up & Divestment

As described on the main site, a 90–120 day minimum hold period applies after deposit crediting before an investor may request divestment, subject to fund liquidity, asset disposition timelines, and governing documents. Divestment is not guaranteed on demand. Early or forced liquidation of underlying assets may adversely affect returns.

Cryptocurrency & On-Chain Risks

Depositing cryptocurrency involves significant risks, including but not limited to:

You are solely responsible for verifying addresses, networks, destination tags, and transaction details before sending funds.

Private Placement — Not a Bank

SBF FTC is structured as a private fund / private placement vehicle. It is not a bank, credit union, FDIC-insured deposit account, money transmitter offering consumer deposit insurance, or publicly registered investment company unless and until explicitly stated in formal offering documents filed or delivered to you.

References to "quasi-bank" presentation or institutional styling describe branding and operational posture — not a regulatory classification.

Forward-Looking Statements

Statements about intended acquisitions (including properties sourced from listing platforms or commercial pipelines), portfolio composition, distribution timing, or tax-efficient structuring are forward-looking and subject to change based on market conditions, legal requirements, and fund discretion. Actual results may differ materially.

Third-Party Platforms

References to third-party services, listing platforms, custodians, exchanges, or payment rails are for operational description only. We do not control third parties and are not responsible for their actions, outages, policy changes, or failures.

Limitation of Liability

To the fullest extent permitted by law, FiveToClose and its owners, managers, employees, contractors, and affiliates disclaim liability for any direct, indirect, incidental, consequential, or special damages arising from your use of this site, any deposit, or reliance on site content — including lost profits, lost crypto, lost opportunity, or tax penalties.

You use this site and participate at your own risk.
